Terms of Service

§1Acceptance and Scope

These Terms govern access to Multinex AI websites, dashboards, hosted APIs, MCP endpoints, downloads, billing services, agent infrastructure, and related products including MemQ, Multinex Shield, Legion, MARS, and Billing Manager.

By creating an account, using a service, starting checkout, connecting a payout account, or accessing a protected dashboard, you agree to these Terms and any product-specific terms presented in the flow.

§2Accounts and Authority

You are responsible for the accuracy of account, organization, billing, and payout information submitted to Multinex. You must keep credentials secure and promptly revoke access for users who no longer require it.

If you act for an organization, you represent that you have authority to bind that organization to these Terms and to manage subscriptions, team access, API keys, agent credentials, and payout details on its behalf.

§3Payments, Trials, and Subscriptions

Paid products use Stripe checkout, subscription billing, customer portal management, and webhook-backed entitlement activation. Prices, trial availability, seats, usage limits, renewal dates, taxes, and payment method requirements are shown before activation or in the customer portal.

Trials may require a valid payment method and convert to paid subscriptions unless canceled before the trial ends. Failed payments, chargebacks, fraud signals, or unresolved billing issues may suspend or revoke access.

§4Acceptable Use

You may not use Multinex services to attack, disrupt, reverse engineer, scrape protected systems without authorization, exfiltrate secrets, violate privacy rights, bypass access controls, infringe intellectual property, or operate unlawful automated workflows.

We may throttle, suspend, block, or terminate access where activity threatens platform integrity, customer data, security posture, payment systems, or legal compliance.

§5Autonomous Agents and Customer Responsibility

Multinex provides infrastructure for agent memory, routing, security, billing, and governance. You remain responsible for prompts, tools, data sources, deployment choices, downstream actions, and any agents or automations launched from your account.

Agent safeguards, memory systems, keys, VISAs, and policy gates reduce risk but do not transfer legal, financial, or operational responsibility for your workflows to Multinex.

§6Data, Privacy, and Security

Use of Multinex services is also governed by the Privacy Policy. Product surfaces may process account metadata, billing records, usage events, memory segments, agent telemetry, API keys, support requests, and security logs according to the applicable product configuration.

Do not submit regulated, sensitive, or third-party confidential data unless your plan, deployment, and written agreement explicitly support that use case.

§7Intellectual Property and License Boundaries

Multinex and its licensors retain all rights in platform software, designs, documentation, trademarks, models, protocols, architecture, and service improvements. Your use grants no ownership interest in the platform.

You may not copy, resell, sublicense, decompile, disassemble, or commercialize Multinex services or protected architecture except as expressly allowed in a written agreement or published open-source license.

§8Service Availability and Changes

Hosted services may be updated, modified, rate-limited, deprecated, paused, or discontinued. We aim to preserve customer workflows, but no hosted service is guaranteed to be uninterrupted, error-free, or available in every jurisdiction.

We may change products, plans, pricing, limits, eligibility rules, or feature availability prospectively. Material billing changes will be surfaced through checkout, account notices, dashboard surfaces, or direct communication where practical.

§9Termination

You may stop using the services or cancel paid subscriptions through the available billing portal or support channel. We may suspend or terminate accounts for nonpayment, security risk, legal risk, policy violations, fraud, or abuse.

Termination does not remove obligations already incurred, including unpaid invoices, usage charges, confidentiality duties, payout reversals, or restrictions on misuse of Multinex intellectual property.

§10Disclaimers and Liability Limits

Services are provided as available and without warranties except where a written agreement states otherwise. To the maximum extent permitted by law, Multinex is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

Our aggregate liability for claims related to the services is limited to amounts paid to Multinex for the affected service during the twelve months before the claim, unless a separate signed agreement states a different limit.

§11Support and Notices

Billing, affiliate, security, and account questions can be sent to billing@multinex.ai or support@multinex.ai. Security-sensitive reports should avoid including secrets in plain text.

We may provide notices through dashboards, email, checkout pages, public pages, or product documentation. Continued use after updated terms are posted means you accept the updated terms.

§12Affiliate Program Terms

These Affiliate Program Terms apply to customers, partners, and approved users who join the Multinex affiliate program through the affiliate dashboard. They govern affiliate enrollment, referral attribution, commission creation, Stripe Connect payout onboarding, Net 30 maturity, payout batching, and reversal rights.

  • Program entry requires accepting the current Affiliate Program Terms inside the affiliate dashboard. Referral links, dashboard sharing controls, and Stripe Connect payout onboarding are blocked until that acceptance is recorded for the current terms version.
  • Referral attribution is first-touch and lasts 90 days from the accepted referral click. Checkout and subscription metadata may snapshot the affiliate ID, affiliate code, referral ID, commission rate, and attribution model so attribution survives cookie loss.
  • Self-referrals, same-organization referrals, internal billing bypasses, test-bypass checkouts, duplicate attribution, inactive affiliates, disabled affiliate capabilities, fraud, abuse, and policy-violating traffic are not commissionable.
  • The standard commission is 10% of commissionable paid subscription invoice amounts. Commissionable amounts exclude taxes, refunds, credits, chargebacks, disputed funds, non-subscription charges, and non-commissionable adjustments.
  • After 10 active paid subscription referrals, the growth tier applies a 15% commission rate to future qualifying referrals while the same eligibility, attribution, reversal, and payout rules continue to apply.
  • Commissions are created only after successful Stripe subscription invoice payment. Each commission remains pending during the Net 30 maturity window and becomes eligible only after the invoice remains valid through that window.
  • Eligible balances are batched monthly once the affiliate has at least $25 in matured eligible balance. Net 30 eligibility does not guarantee immediate transfer if Stripe, tax, fraud, sanctions, risk, or platform controls require review.
  • Payouts require a valid Stripe Connect Express account with completed onboarding, transfer capability, required tax/KYC information, and payouts enabled. Affiliates accept Stripe's current Connect terms directly with Stripe during onboarding.
  • Affiliates are responsible for accurate payout, identity, bank, and tax information. Multinex may withhold, reverse, offset, or delay payouts where refunds, credits, disputes, chargebacks, billing reversals, fraud, legal risk, or policy violations affect the underlying subscription.
  • Multinex may pause, review, reject, or terminate affiliate participation where activity harms customers, misrepresents products, violates law, creates payment risk, interferes with platform security, or conflicts with Multinex standards.
  • Program rates, thresholds, payout floors, eligible products, attribution windows, and terms may be modified prospectively. Already created commissions remain subject to invoice validity, refund windows, fraud review, Stripe transfer availability, and these Terms.
